Supplier Code of Conduct

PAT Technology Systems Inc.

PAT Technology Systems Inc. (“PAT”) is committed to conducting business responsibly, ethically, and sustainably. We seek out suppliers, contractors, and business partners (“Suppliers”) who align with this commitment and to comply with this Supplier Code of Conduct (“Code”) when doing business with PAT.

This Code sets out minimum standards. Suppliers are expected to comply with all applicable laws and regulations in the countries in which they operate, as well as the principles outlined below.

1. Legal Compliance

Suppliers must comply with all applicable laws, regulations, and industry standards, including those relating to labor, health and safety, environmental protection, anti-corruption, and data protection.

Where local laws and this Code differ, Suppliers must comply with the higher standard.

2. Human Rights

Suppliers must respect internationally recognized human rights, including the principles set out in the UN Guiding Principles on Business and Human Rights.

Suppliers shall not engage in, support, or tolerate:

• forced, bonded, or involuntary labor,

• child labor,

• human trafficking, or

• any form of exploitation or abuse.

Employment must be freely chosen, and workers must be free to leave employment in accordance with applicable laws.

3. Labor and Workplace Standards

Suppliers must provide a safe, healthy, and respectful workplace and comply with applicable labor laws, including those governing:

• wages and benefits,

• working hours and overtime,

• rest periods and leave entitlements.

Suppliers must:

• prohibit discrimination, harassment, and retaliation,

• respect freedom of association and the right to lawful collective bargaining, in accordance with local laws, and

• treat all workers with dignity and respect.

4. Health and Safety

Suppliers must provide a safe and healthy working environment and take appropriate measures to prevent workplace accidents, injuries, and occupational illnesses.

This includes:

• identifying and mitigating health and safety risks,

• providing appropriate training and protective equipment, and

• maintaining emergency preparedness and response procedures.

5. Environmental Responsibility

Suppliers must comply with applicable environmental laws and regulations and operate in a manner that minimizes environmental impact.

Where practical, Suppliers are encouraged to:

• reduce waste, emissions, and pollution,

• use energy, water, and raw materials efficiently,

• manage hazardous substances responsibly, and

• consider environmental impacts in their operations and supply chains.

6. Business Integrity and Ethics

Suppliers must conduct business ethically and with integrity.

Suppliers shall not engage in:

• bribery, corruption, or improper payments,

• fraud, extortion, or embezzlement, or

• unfair or deceptive business practices.

Suppliers must comply with applicable anti-corruption and anti-bribery laws and maintain appropriate controls to prevent unethical conduct.

7. Confidentiality and Intellectual Property

Suppliers must protect confidential information and intellectual property belonging to PAT and third parties and use such information only for authorized business purposes.

Unauthorized disclosure, misuse, or infringement of intellectual property is strictly prohibited.

8. Subcontractors and Supply Chain

Suppliers are expected to apply the principles of this Code to their own suppliers and subcontractors where relevant to the goods or services provided to PAT.

Suppliers remain responsible for ensuring compliance with this Code within their supply chain related to PAT products or services.

9. Monitoring and Compliance

PAT may request reasonable information or confirmation from Suppliers to assess compliance with this Code.

Suppliers are expected to:

• promptly notify PAT of any material violations of this Code,

• take corrective actions where issues are identified, and

• cooperate in good faith with reasonable compliance inquiries.

Failure to comply with this Code may result in corrective action, suspension, or termination of the business relationship.

10. Continuous Improvement

PAT encourages Suppliers to continuously improve their social, environmental, and ethical practices and to engage constructively in addressing risks and opportunities related to responsible business conduct.
